Q.Does every Hong Kong limited company need an annual audit?

Yes. Under the Companies Ordinance, the financial statements of every limited company (private company) must be audited by a practising CPA each year and laid before the annual general meeting. The obligation applies even to small companies with few transactions; only certain small companies meeting the statutory exemption criteria may be exempted.

Q.When will a new company receive its first tax return?

Generally, the IRD issues the first profits tax return about 18 months after incorporation or commencement of business. The first accounting period can span up to 18 months; subsequent periods follow the company's chosen year-end date.

Q.What are the statutory duties of a company secretary?

The company secretary keeps the company compliant with the Companies Ordinance and its articles: filing annual returns, keeping statutory registers and minutes, handling director and shareholder changes, and safeguarding the common seal. Hong Kong law requires every limited company to have a company secretary — an individual or a body corporate.

Q.What is required to incorporate a Hong Kong company?

You need at least one director and one shareholder (they may be the same person), a company secretary, a registered office address in Hong Kong and a business registration. Local residency is not required — overseas founders are welcome; if directors hold foreign passports, bank account opening usually requires a visit to Hong Kong in person.

Q.Can I save tax? Is tax planning legal?

Tax planning within the law is legitimate — using allowable deductions, choosing a favourable accounting period, applying double taxation relief, and so on. We only give legal, compliant advice and take no part in designing or promoting tax avoidance arrangements.

Q.How do we start working together? What documents are needed?
